LEGAL & PRIVACY

Legal

Legal policies governing the use of Tremblay Systems Integration Inc. services. In force since April 20, 2026; last revised September 25, 2026.

← Back to main site
These policies apply to all TSI client engagements and to use of this website. Where a signed MSA or SOW exists, its specific terms take precedence over the general statements here. Where none exists, as for a self-serve subscription taken on this site, POL-07 below is the agreement between you and TSI, and the clauses scoped to an SOW apply only as POL-07 states.

Privacy Policy

Tremblay Systems Integration Inc. collects and processes personal information only as necessary for service delivery and client communication. We collect: name, business email, company name, and project details provided through our contact form or during onboarding.

Our configurator and our migration estimator also record the answers you give as you go, including sessions you begin and do not submit, together with the optional contact detail requested on the first panel. That field says so beside itself, at the moment it is asked. The purpose is narrow: to send you your estimate or answer your question if you leave before the end. It is used for nothing else, and leaving it blank costs you nothing, since every step works without it. A partial session that never becomes an engagement is kept for 24 months and then deleted automatically; the 7 year retention below applies to client engagements, not to visitors who never became clients.

This site sets two cookies, both strictly necessary: one holds your session so the contact form can work, the other carries the token that protects that form against forgery. Neither tracks you, neither is read by anyone else, and the site loads no third-party scripts, fonts or analytics at all. Your browser also stores your language choice locally, along with any configurator answers you have given, so you can leave and return to the same place. None of that leaves your browser until you submit something.

We do not sell, rent, or share personal information with third parties except as required to deliver contracted services (e.g., cloud infrastructure providers under data processing agreements). A subscription purchased on this site is paid through Stripe, a payment processor established in the United States, which receives your name, email address, billing address and card details and processes them outside Québec. Information is retained for the duration of the engagement plus 7 years for legal and tax compliance purposes. For a self-serve subscription, what becomes of the content you stored is set out in POL-07 below: the seven year period applies to billing and tax records, not to that content.

You have the right to access, correct, or request deletion of your personal information by contacting support@tsintegration.ca. Requests are fulfilled within 30 days. Under Law 25 you may also withdraw your consent at any time, and ask us to hand you the computerized personal information you provided in a structured, commonly used technological format, or to transmit it to another organization. TSI renders no decision based exclusively on automated processing of personal information, and does not profile you. Information we treat as sensitive is collected only with your express consent. TSI assesses the privacy implications of a project before it acquires, develops or overhauls a system that handles personal information, and before communicating such information outside Québec. The person in charge of the protection of personal information at TSI is its President, reachable at the same address. TSI operates under Quebec Law 25 and PIPEDA; if our answer does not satisfy you, the Commission d’accès à l’information may be asked to examine the matter.

Data Security

TSI implements security controls appropriate to the sensitivity of data processed. Baseline controls include: encryption in transit (TLS 1.2+), encryption at rest for all stored client data, access control on a least-privilege basis, and quarterly security review.

We are working toward SOC 2 Type II and ISO 27001 certification. In the event of a data breach affecting personal information, affected clients are notified diligently, as Law 25 requires, and in any case within 72 hours, and the Commission d’accès à l’information (CAI) is notified where required.

Client systems integrated by TSI remain the property and responsibility of the client. TSI’s security obligations are limited to the scope defined in the applicable SOW, or in POL-07 for a self-serve subscription, and do not extend to the client’s broader environment unless explicitly contracted.

Intellectual Property

Unless explicitly transferred in writing in the applicable SOW, Tremblay Systems Integration Inc. retains ownership of all pre-existing intellectual property, methodologies, frameworks, tools, and code libraries used in the delivery of services.

Custom deliverables produced solely for a client and defined as “Work Product” in the SOW are assigned to the client upon receipt of full payment. TSI retains a perpetual, irrevocable, royalty-free license to use anonymized learnings and non-client-specific components for internal improvement and future client work.

Client data and client-owned systems integrated by TSI remain the intellectual property of the client at all times. TSI makes no claim to client data.

Quality Assurance

TSI delivers all work against acceptance criteria defined in the applicable SOW. Deliverables are reviewed against these criteria before submission. Clients have a review period (default: 10 business days) to raise defects. Confirmed defects within scope are remediated at no additional charge.

TSI targets 99.5% uptime for managed services (defined per SOW), measured monthly. This target and the service credits below are contracted only under an SOW; POL-07 states what applies to a self-serve subscription, for which no uptime guarantee and no service credit is contracted. Scheduled maintenance windows are communicated at least 48 hours in advance. SLA credits (where contracted) are issued as service credits, not cash refunds.

All engagements include a post-delivery retrospective to capture improvements. TSI commits to continuous improvement of delivery practices.

Jurisdiction

These policies and all TSI contracts are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. The Civil Code of Québec (C.c.Q.) governs contract interpretation. TSI is federally incorporated under the Canada Business Corporations Act (CBCA, corp. no. 1787248-8) and registered in Québec (NEQ 1182075656); the CBCA is the primary statute governing TSI’s corporate obligations, while Québec statutes such as the Loi sur la publicité légale des entreprises govern its Québec registration.

Any dispute not resolved by good-faith negotiation within 30 days is submitted to binding arbitration in Montreal, Quebec, where the engagement is governed by an MSA setting out the arbitration rules. Where no MSA has been signed, as with the self-serve subscription of POL-07, disputes are brought before the courts of the Province of Quebec, judicial district of Montreal. The language of proceedings is English or French as agreed. TSI does not consent to class actions or class arbitration, and does not set up an arbitration clause against a consumer.

This website and its contents are intended for business audiences in Canada. TSI does not represent that materials on this site are appropriate or available for use in other jurisdictions.

Limitation of Liability

To the maximum extent permitted by applicable law, TSI’s total aggregate liability to any client arising out of or related to any engagement shall not exceed the total fees paid by that client in the 12 months preceding the event giving rise to the claim.

TSI shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, or business interruption, even if TSI has been advised of the possibility of such damages.

These limitations apply regardless of the form of action (contract, tort, statute, or otherwise) and reflect a fundamental part of the basis of the bargain between TSI and its clients. Specific carve-outs (gross negligence, willful misconduct) are set out in each executed MSA; where no MSA has been signed, as with the self-serve subscription, the statutory carve-out below applies directly. In all cases, under article 1474 of the Civil Code of Québec, TSI may not exclude or limit its liability for material injury caused through intentional or gross fault, nor for bodily or moral injury.

Self-Serve Subscription

This policy governs a subscription taken directly on this website, where no MSA and no SOW is signed. For such a subscription, this policy is the agreement between you and TSI, together with the policies above as they are scoped here.

Price and term. The service is billed per seat, from 5 to 25 seats, at 12.00 CAD per seat per month before GST and QST. There is no setup fee. A monthly term is invoiced one month at a time. An annual term is invoiced for twelve months and eleven are charged, the twelfth being the discount.

What a seat is. A seat is an active account in your cloud’s Personnel group: an account your console enrolled as staff and that is not disabled. A disabled account stops counting, and administration accounts do not count. Your cloud reports this number daily and your client area displays it. If it exceeds the number of seats paid for, no account is blocked because of it.

Cancellation. You may cancel at any time from your client area. Cancellation takes effect at the end of the period already paid, one month or twelve; service continues until then and no partial refund is issued for the remainder of that period. The annual term is not refundable before its twelve months are complete: that commitment is the consideration for the free month, and the underlying machine is itself engaged for the year.

Failed payment. If a payment is declined, you have 14 days to settle it, during which service continues. After that period the service is suspended.

Delivery. Your service is delivered once your servers are installed and answering; we write to you when they are. If we cannot deliver it, everything you paid is refunded in full.

Backups. Automatic backups are included in the price. They are written to two places: your own machine, and a separate machine that TSI operates. A service is not delivered until both destinations are in place.

Your data at the end. Throughout the subscription you can download your files yourself, at any time, from your own services. After a cancellation or a suspension takes effect, your data remains recoverable for 30 days, during which you may ask us to export all of it, at no charge. It is then deleted. The seven-year retention stated in POL-01 applies to billing records and tax documents, not to the content you stored.

Included support. The subscription includes a pooled allowance of 5 minutes per seat per month for assistance, not cumulative from month to month. Beyond that allowance, assistance is billed at 95.00 CAD per hour in increments of 15 minutes, quoted and accepted by you before the work starts. An incident caused by TSI or by the service itself is never counted against the allowance.

No uptime guarantee. The availability target and the service credits described in POL-04 apply to managed services contracted under an SOW. No uptime guarantee and no service credit is contracted for the self-serve subscription. Where these policies refer to a Master Service Agreement or a Statement of Work, those references do not apply to the self-serve subscription, under which no such document exists: the corresponding rule for a subscriber is the one stated in this POL-07, and where POL-07 is silent the obligation is simply not contracted. TSI operates the service with the same care in both cases; the difference is what is contractually owed.

Changes. TSI may change prices and these terms. A change takes effect only for periods beginning after it is published, never for a period already paid, and is announced at least 30 days in advance to the address on the account.

Open-source software and fonts
